Terms of Use

These Terms of Use (“Terms”) govern your access to and use of persentic.ai and any related public content, demo requests, and investor-relations materials we make available through the Site (collectively, the “Site”). By accessing or using the Site, you agree to these Terms.

These Terms apply only to the public Site. They do not govern paid production use of Persentic software or services. Production use requires a separate written customer agreement. If there is a conflict between these Terms and a signed customer agreement, the customer agreement controls for that relationship.

1. Who we are

The Site is operated by Persentic Inc.

2. No offer of securities

Site content is for general information only. It is not an offer to sell, or a solicitation of an offer to buy, any security. Any offering of securities by Persentic, if made, will be made only pursuant to definitive offering documents and applicable securities laws.

Materials shared through investor-relations channels are confidential. Access may be conditioned on additional agreements. You may not copy, forward, or rely on those materials except as those agreements allow.

3. Forward-looking statements

Statements on the Site about future plans, product capabilities, deployments, financial performance, EBITDA, valuation, or exit outcomes are forward-looking. They involve risks and uncertainties. Actual results may differ materially. Nothing on the Site is a guarantee of revenue, cost reduction, profitability, or enterprise value.

4. Not medical, legal, or financial advice

Site content and any demonstration output are not medical advice, legal advice, tax advice, or investment advice. Customers and their licensed professionals remain solely responsible for clinical, billing, coding, and operational decisions. Do not rely on Site content as a basis to treat patients, submit claims, or make investment decisions.

5. Permitted use

You may use the Site only for lawful, professional evaluation of Persentic. You agree not to:

  • Use the Site to submit PHI or other information you are not authorized to share.
  • Scrape, crawl, or systematically download Site content except through ordinary browser use.
  • Probe, scan, or test the vulnerability of the Site, or circumvent security or access controls.
  • Reverse engineer, decompile, or attempt to extract source code or models from the Site.
  • Upload malware, interfere with the Site, or impose an unreasonable load on our systems.
  • Misrepresent your identity, affiliation, or authority to request investor or customer materials.
  • Use Site content to build a competing product.

We may suspend or terminate access to the Site, demo environments, or investor materials at any time if we believe these Terms have been violated or if we need to protect the Site or confidential information.

6. Accounts and access to materials

Demo access and investor-data-room access, if granted, are personal to you and the organization you represent. You must keep credentials confidential and tell us promptly if you believe access has been compromised. We may revoke access at any time.

Confidential materials remain Persentic’s property. You will use them only to evaluate a potential commercial or investment relationship with Persentic and will not copy, share, or use them for any other purpose.

7. Intellectual property

The Site and all content on it — including text, graphics, logos, marks, software, model outputs shown in demos, and documentation — are owned by or licensed to Persentic and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for the permitted uses above. No other license is granted. Persentic, Care Fortress, and related marks are trademarks of Persentic or its affiliates.

If you send us feedback or suggestions, you grant Persentic a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation to you.

8. AI outputs and no guaranteed outcomes

Any demonstration, sample output, benchmark, case illustration, or statement about revenue capture, cost reduction, EBITDA, retention, or exit valuation is illustrative or forward-looking. Results vary by operator, data quality, workflow, and market conditions. You remain responsible for validating outputs and for all clinical, billing, coding, employment, and financial decisions.

9. Disclaimer of warranties

The Site and all content are provided “as is” and “as available.” To the maximum extent permitted by law, Persentic disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that Site content is accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Persentic and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Site or these Terms, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Persentic’s total liability arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Mutual hold harmless

Each party holds the other harmless from claims that the first party may assert arising from the other party’s errors in connection with the Site, except for claims arising from confidentiality or privacy breaches, infringement of intellectual property, fraud, willful misconduct, or gross negligence. These Terms do not create traditional third-party cross-indemnity. Paid customer relationships are governed by the customer agreement, not by this section.

12. Suspension and termination

We may suspend or terminate access to the Site, demo environments, or investor materials at any time, with or without notice, if we believe these Terms have been violated or if we need to protect the Site or confidential information. Sections that by their nature (including intellectual property, confidentiality, disclaimers, limitation of liability, and hold harmless) should survive termination.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Exclusive venue for disputes arising out of the Site or these Terms is the state or federal courts located in Wyoming, except that Persentic may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. General

We may update these Terms by posting a revised version on the Site. The effective date will change. Continued use of the Site after the updated date constitutes acceptance of the revised Terms for Site use going forward.

These Terms are the entire agreement between you and Persentic regarding the Site. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a financing or corporate transaction.

If a signed customer agreement or investor confidentiality agreement applies, that agreement controls for that relationship.
